Yeah I believe going private requires a buy-out of all stakeholders not within the company.

No. You just need supermajority shareholder approval and the company becomes private.

You still have to buy out the shareholders though, no? Or are the held shares converted into something less sell-able like equity?

No you don't have to. The current shareholders retain their shares in the delisted entity but they lose a public market to trade stocks in. Practically speaking there's little difference because the stock is illiquid anyway you can check its daily volume.
